BGI Argentina - Board meetings and remote shareholders' meeting, with quorum, please!

Our partner from Argentina, Luis Hernán Vizioli, to which we take this opportunity and welcome, has published an article in the prestigious editorial El Dial, the great online legal library known and consulted in Argentina and neighbouring countries.

The article is titled: “Board meetings and remote shareholders' meeting, with quorum, please!”.

“The purpose of this work focuses on demonstrating that the members of the Board of Directors of a corporation, whose capital is closed, must be able to participate in the meetings of the body from a distance, and their presence must be accounted for in determining the quorum. Although the similarities of this governing body can be applied to that of other legal vehicles, we will focus our attention on the public limited company, leaving to other colleagues the particular analysis of other situations. This is so, without prejudice to adding to this note the analysis of Resolution IGJ 11/2020 that expands the object of analysis hereof. On the other hand, the analysis of the operation of the directory and the legislation that is promoted also entails the analogous situation of the pertinent inspection bodies.”
